1. Definitions

1.1. Agreement – These terms and conditions published at www.georgiantransfer.com.
1.2. Operator – Georgian Transfer LLC, the party operating the platform that connects drivers with passengers.
1.3. Driver – A natural person providing transportation services to passengers.
1.4. Passenger – A natural person or legal entity using GeorgianTransfer services.
1.5. Profile – The driver's account on the platform.
1.6. Trip Fare – The amount paid by the passenger for the transportation service.
1.7. Commission – 23% of the Trip Fare, payable to the Operator.
1.8. Confidential Information – Any confidential information or data known to the parties or obtained in connection with the service.
1.9. Force Majeure – Natural disasters, war, blockade, pandemic, and other circumstances beyond the reasonable control of the parties.

2. Subject of the Agreement

2.1. The Operator provides a platform connecting drivers and passengers.
2.2. The Operator shall not be directly responsible for the technical condition, quality, or safety of the Driver's vehicle.
2.3. The Driver may determine the trip fare but must comply with the minimum service standards established by the Operator.

3. Profile Registration and Activation

3.1. The Driver must provide the following documents: identification document, driving licence, vehicle registration certificate, and insurance certificate.
3.2. After the Profile is created, the Driver may be required to attend an interview and, where necessary, training.
3.3. After successfully completing five orders, the Driver must pay a deposit of 100 GEL.
3.4. The Operator has the right to suspend or terminate the Driver's Profile in the event of a breach of the rules or this Agreement.

4. Provision of Transportation Services

4.1. The Driver must transport the Passenger safely and on time to the agreed destination.
4.2. The Driver may not carry additional persons without the Passenger's explicit consent.
4.3. The vehicle must be clean, properly maintained, and technically safe.
4.4. Fuel, internet, insurance, maintenance, and all other expenses arising from the Driver's activities shall be borne by the Driver.
4.5. 23% of the Trip Fare shall be transferred to the Operator as commission.

5. Rights and Obligations of the Parties

5.1. In the event of a violation of the rules, the Operator has the right to block, suspend, or delete the Driver's Profile.
5.2. The Driver must comply with Georgian law, ensure Passenger safety, and must not drive under the influence of alcohol, narcotic substances, or any other substance that may impair driving ability.
5.3. The Passenger has the right to submit complaints and reviews regarding the service provided.

6. Rating and Activity

6.1. Passengers may leave ratings and reviews regarding the Driver.
6.2. The Driver's Profile may be temporarily or permanently suspended in the event of low ratings, repeated complaints, or breaches of service standards.

7. Liability of the Parties

7.1. Unauthorized transfer of an order to a third party shall result in a penalty of 10,000 GEL.
7.2. Providing a service with a dirty vehicle or a vehicle that does not meet the required service standards shall result in a penalty of 150 GEL.
7.3. Providing false, incomplete, or misleading information shall result in a penalty of 100 GEL.
7.4. The Driver shall be fully responsible for any damage caused by the Driver to the Passenger, third parties, or property.

8. Confidentiality

8.1. The Driver may not use Passenger personal data for any purpose other than performing the transportation service.
8.2. Data processed by the Operator may be retained for the duration of the Driver's active Profile and for 10 years thereafter.
8.3. Upon completion of the service, the Driver must delete Passenger information from the Driver's devices unless retention is required by law.

9. Force Majeure

The parties shall not be held liable for failure to perform their obligations due to natural disasters, war, blockade, pandemics, governmental restrictions, or other circumstances beyond their reasonable control.

10. Termination of the Agreement

10.1. The Agreement may be terminated by mutual consent of the parties.
10.2. The Operator may terminate the Agreement unilaterally if the Driver breaches this Agreement or the platform rules.
10.3. The Driver may terminate the Agreement by providing at least 10 days' prior written notice.

11. Dispute Resolution

All disputes arising from this Agreement shall be governed by the laws of Georgia and resolved by the Tbilisi City Court.

12. Other Conditions

12.1. All notices sent by email or published in the Driver's Profile shall be deemed delivered five days after the date of sending or publication.
12.2. GeorgianTransfer reserves the right to amend these terms unilaterally.
12.3. Continued use of the Driver's Profile after publication of amendments shall constitute acceptance of the updated terms.
